  • Deliverables: Upon full payment of project invoices, final custom source code, design assets, and compiled platforms belong exclusively to the client.
  • Agency Assets: Pre-existing frameworks, libraries, internal tools, and reusable core modules developed by Merzi LLC remain the intellectual property of Merzi LLC, licensed to the client for ongoing platform operations.

3. Client Responsibilities & Project Timelines

Successful project deployment relies on collaborative interaction. Clients agree to provide timely feedback, content assets, access credentials, and approvals. Merzi LLC is not liable for project delays resulting from client-side bottlenecks or delayed feedback cycles.

4. Warranties & Limitation of Liability

Merzi LLC provides software engineering and digital services on a professional, best-effort basis adhering to industry standards. In no event shall Merzi LLC or its directors be held liable for indirect, consequential, or incidental damages arising out of system downtime, third-party API interruptions, or client-managed server modifications.
